IMPORTANT NOTICE: PLEASE READ THESE TERMS CAREFULLY

THESE TERMS OF SERVICE ("TERMS") CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND SPADE JEWELERS. BY ACCESSING OR USING OUR WEBSITE, SERVICES, OR PURCHASING OUR PRODUCTS, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES.

THESE TERMS CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ SECTION 20 CAREFULLY.

1. ACCEPTANCE OF TERMS

1.1 Agreement to Terms

By accessing or using the Spade Jewelers website (the "Site"), mobile applications, or any other online or offline services provided by Spade Jewelers (collectively, the "Services"), or by purchasing any products from us (the "Products"), you ("you," "your," or "Customer") agree to be bound by these Terms of Service, our Privacy Policy, and all other policies and guidelines referenced herein.

1.2 Eligibility

You must be at least 18 years of age to use our Services or make purchases. By using our Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding contracts
  • You are not barred from using the Services under applicable law
  • You will comply with these Terms and all applicable laws and regulations

1.3 Modifications to Terms

We reserve the right to modify these Terms at any time, in our sole discretion. Changes will be effective immediately upon posting to the Site. Your continued use of the Services after any modifications constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. ACCOUNT REGISTRATION

2.1 Account Creation

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

2.3 Account Termination

We reserve the right to suspend or terminate your account at any time, for any reason, without notice or liability, including but not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Abusive behavior toward staff or other customers
  • Chargebacks or payment disputes
  • Providing false information
  • Any other reason at our sole discretion

3. PRODUCTS AND SERVICES

3.1 Product Descriptions

We strive to provide accurate product descriptions, images, and specifications. However, we do not warrant that product descriptions, images, pricing, or other content on the Site are accurate, complete, reliable, current, or error-free.

DISCLAIMER: Due to the nature of jewelry and precious metals:

  • Actual product colors may vary from images due to monitor settings, lighting, and photography
  • Natural diamonds, gemstones, and precious metals may have variations in color, clarity, and characteristics
  • Product weights and measurements are approximate
  • Custom products may vary from design specifications

3.2 Custom Products and Grillz

For custom products, including but not limited to custom grillz:

  • You acknowledge that custom products are made specifically for you based on the information, specifications, and impressions you provide
  • You are solely responsible for the accuracy of all information, measurements, and impressions provided
  • Custom products cannot be returned or exchanged except in cases of manufacturing defects
  • Variations from design specifications may occur and are not considered defects
  • Fit, comfort, and appearance may vary based on individual factors beyond our control
  • We are not responsible for dental damage, oral health issues, or any other personal injury arising from the use of our products

3.3 Product Availability

All products are subject to availability. We reserve the right to:

  • Limit quantities available for purchase
  • Discontinue any product at any time
  • Refuse any order for any reason
  • Correct pricing or descriptive errors

3.4 Precious Metals and Stones

Products described as containing precious metals (gold, silver, platinum) or gemstones (diamonds, moissanite, etc.) are represented to the best of our knowledge. However:

  • Metal purity and stone quality are as described but may have natural variations
  • We are not responsible for independent appraisals that differ from our descriptions
  • Certifications, where provided, are from independent third parties and we make no warranties regarding their accuracy
  • Market values fluctuate and we make no representations regarding investment value

4. ORDERS AND PAYMENT

4.1 Order Acceptance

Your placement of an order constitutes an offer to purchase. All orders are subject to our acceptance. We reserve the right to refuse or cancel any order for any reason, including but not limited to:

  • Product unavailability
  • Pricing or descriptive errors
  • Suspected fraud
  • Payment issues
  • Violation of these Terms
  • Order limitations

4.2 Pricing

All prices are in U.S. Dollars unless otherwise specified. Prices are subject to change without notice. We are not responsible for pricing errors and reserve the right to cancel orders placed at incorrect prices.

4.3 Payment Terms

  • Payment is due at the time of order placement
  • We accept major credit cards, debit cards, and other payment methods as displayed at checkout
  • You represent and warrant that you have the legal right to use any payment method provided
  • All payments are processed by third-party payment processors (Shopify Payments, PayPal, etc.)
  • We are not responsible for payment processing errors by third-party processors

4.4 Payment Authorization

By providing payment information, you authorize us to charge the full order amount, including applicable taxes and shipping. You also authorize us to charge for any additional amounts due (such as custom work upgrades or shipping adjustments).

4.5 Taxes

You are responsible for all applicable taxes, duties, tariffs, and governmental charges. Prices displayed may not include taxes, which will be calculated at checkout.

5. SHIPPING AND DELIVERY

5.1 Shipping Terms

  • Shipping times are estimates only and are not guaranteed
  • We are not responsible for delays caused by shipping carriers, customs, weather, or other factors beyond our control
  • Risk of loss and title to products pass to you upon delivery to the shipping carrier
  • Shipping costs are non-refundable
  • International customers are responsible for all customs duties, import taxes, and fees

5.2 Delivery

  • You are responsible for providing accurate shipping information
  • We are not liable for orders shipped to incorrect addresses provided by you
  • Signature may be required for high-value shipments
  • If a package is returned due to delivery failure, you are responsible for reshipping costs

5.3 Lost or Damaged Shipments

  • Claims for lost or damaged shipments must be filed within 7 days of estimated delivery date
  • We will assist in filing claims with shipping carriers but are not liable for carrier errors
  • Replacement or refund decisions are at our sole discretion
  • Insurance claims are subject to carrier policies

6. RETURNS AND REFUNDS

6.1 Return Policy

Our return policy is as follows:

Standard Products:

  • Returns accepted within 14 days of delivery
  • Products must be unworn, undamaged, and in original packaging
  • Return shipping costs are the customer's responsibility
  • Refunds will be issued to the original payment method
  • A restocking fee of up to 15% may apply

Custom Products (Including Grillz):

  • ALL CUSTOM PRODUCTS ARE FINAL SALE
  • Custom products cannot be returned, exchanged, or refunded
  • This includes products made from dental impressions, custom designs, or personalized items
  • Manufacturing defects will be evaluated on a case-by-case basis

Non-Returnable Items:

  • Custom or personalized products
  • Dental impression kits (once opened)
  • Items marked as "Final Sale"
  • Items that have been worn, altered, or damaged
  • Items returned without authorization

6.2 Refund Processing

  • Refunds will be processed within 7-14 business days of receiving returned items
  • Refunds are issued to the original payment method only
  • Original shipping costs are non-refundable
  • We reserve the right to refuse refunds for items not meeting return conditions

6.3 Exchanges

Exchanges are subject to product availability and must be requested within the return period. You may be responsible for price differences and additional shipping costs.

6.4 Defective Products

If you receive a defective product:

  • Contact us within 7 days of delivery
  • Provide photos and description of the defect
  • We will evaluate and determine appropriate resolution
  • Resolution may include repair, replacement, or refund at our sole discretion

7. WARRANTIES AND DISCLAIMERS

7.1 Limited Warranty

Spade Jewelers provides a limited warranty against manufacturing defects for a period of 30 days from the date of delivery, subject to the following conditions:

  • Warranty covers manufacturing defects only
  • Warranty does not cover normal wear and tear, damage from misuse, accidents, modifications, improper care, or exposure to harsh chemicals
  • Warranty does not cover fit, comfort, or aesthetic preferences
  • Warranty is void if products are repaired or modified by unauthorized parties
  • Warranty claims require proof of purchase

7.2 WARRANTY DISCLAIMER

EXCEPT FOR THE LIMITED WARRANTY EXPRESSLY STATED ABOVE, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPADE JEWELERS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • TITLE
  • ACCURACY
  • QUIET ENJOYMENT
  • SYSTEM INTEGRATION
  • QUALITY
  • DURABILITY

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE
  • DEFECTS WILL BE CORRECTED
  • THE SITE OR SERVICES ARE FREE OF VIRUSES OR HARMFUL COMPONENTS
  • PRODUCTS WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS
  • PRODUCTS ARE SUITABLE FOR ANY PARTICULAR PURPOSE

7.3 Health and Safety Disclaimer

IMPORTANT: OUR PRODUCTS, INCLUDING BUT NOT LIMITED TO GRILLZ AND DENTAL JEWELRY, ARE NOT MEDICAL DEVICES AND ARE NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY DISEASE OR MEDICAL CONDITION.

  • You should consult with a dental professional before using grillz or any dental jewelry
  • We are not responsible for any dental damage, tooth decay, gum disease, oral infections, allergic reactions, choking hazards, or any other health issues arising from the use of our products
  • Products should not be worn while eating, sleeping, or engaging in physical activities
  • Products may contain metals that can cause allergic reactions in some individuals
  • You assume all risks associated with wearing our products

8. LIMITATION OF LIABILITY

8.1 EXCLUSION OF DAMAGES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPADE JEWELERS, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, ASSIGNS, SUPPLIERS, OR LICENSORS (COLLECTIVELY, "SPADE JEWELERS PARTIES") BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
  • LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, GOODWILL, OR DATA
  • PERSONAL INJURY OR PROPERTY DAMAGE
  • DENTAL DAMAGE OR ORAL HEALTH ISSUES
  • ALLERGIC REACTIONS
  • EMOTIONAL DISTRESS
  • LOSS OF USE
  • BUSINESS INTERRUPTION
  • COST OF SUBSTITUTE PRODUCTS OR SERVICES

ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SERVICES, OR ANY PRODUCTS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE SPADE JEWELERS PARTIES FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR ANY PRODUCTS SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM, OR
  • ONE HUNDRED U.S. DOLLARS ($100.00)

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

8.3 Basis of the Bargain

YOU ACKNOWLEDGE AND AGREE THAT THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS:

  • FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND SPADE JEWELERS
  • ARE FAIR AND REASONABLE
  • REFLECT A REASONABLE ALLOCATION OF RISK
  • ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND US

WITHOUT SUCH LIMITATIONS, WE WOULD NOT PROVIDE THE SERVICES OR PRODUCTS ON THE TERMS SET FORTH HEREIN.

8.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

9. INDEMNIFICATION

9.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless the Spade Jewelers Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to:

  • Your use of the Services or Products
  • Your violation of these Terms
  • Your violation of any law, regulation, or third-party right
  • Any content or information you submit or transmit through the Services
  • Your negligence or willful misconduct
  • Any dispute between you and any third party
  • Dental damage, oral health issues, or any other personal injury arising from your use of our products
  • Allergic reactions to materials in our products
  • Any claims by third parties arising from your use of our products

9.2 Defense and Settlement

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with our defense of any such claims. You shall not settle any claim without our prior written consent.

10. INTELLECTUAL PROPERTY

10.1 Our Intellectual Property

All content on the Site and in connection with the Services, including but not limited to text, graphics, logos, images, photographs, designs, product designs, software, and other materials (collectively, "Content"), is owned by or licensed to Spade Jewelers and is protected by copyright, trademark, and other intellectual property laws.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for personal, non-commercial purposes, subject to these Terms. This license does not include the right to:

  • Modify, copy, or distribute the Content
  • Use the Content for commercial purposes
  • Reverse engineer any software
  • Remove any proprietary notices
  • Create derivative works

10.3 Trademarks

"Spade Jewelers" and all related logos, product names, and service names are trademarks of Spade Jewelers. You may not use our trademarks without prior written permission.

10.4 User Content

By submitting any content to us (including photos, reviews, feedback, or custom design ideas), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, publish, and distribute such content for any purpose.

11. PROHIBITED CONDUCT

You agree not to:

  • Use the Services for any illegal purpose
  • Violate any applicable laws or regulations
  • Infringe on any third-party rights
  • Submit false or misleading information
  • Engage in fraudulent activity
  • Attempt to gain unauthorized access to the Services
  • Interfere with the proper functioning of the Services
  • Upload viruses or malicious code
  • Harass, threaten, or abuse others
  • Impersonate any person or entity
  • Use automated systems to access the Services
  • Circumvent any security measures
  • Engage in any activity that could damage our reputation

13. GOVERNING LAW AND JURISDICTION

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

13.2 Jurisdiction

Subject to the arbitration agreement below, you agree to submit to the exclusive jurisdiction of the state and federal courts located in [County], Georgia for any disputes arising out of or relating to these Terms or the Services.

14. DISPUTE RESOLUTION AND ARBITRATION

14.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at info@spadejewelers.com to attempt to resolve any dispute informally. We will attempt to resolve the dispute within 30 days.

14.2 BINDING ARBITRATION AGREEMENT

IF WE CANNOT RESOLVE A DISPUTE INFORMALLY, YOU AND SPADE JEWELERS AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR ANY PRODUCTS (COLLECTIVELY, "DISPUTES") SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT.

Arbitration Rules: Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.

Arbitration Location: Arbitration will take place in [County], Georgia, unless otherwise agreed.

Arbitrator Authority: The arbitrator shall have exclusive authority to resolve all Disputes, including the validity and enforceability of this arbitration agreement.

Arbitration Award: The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

14.3 CLASS ACTION WAIVER

YOU AND SPADE JEWELERS AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions

The arbitration agreement does not apply to:

  • Small claims court actions
  • Intellectual property disputes
  • Requests for injunctive relief

14.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to info@spadejewelers.com within 30 days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out.

15. TERMINATION

15.1 Termination by You

You may terminate your account at any time by contacting us. Termination does not affect any orders already placed or any obligations incurred prior to termination.

15.2 Termination by Us

We may terminate or suspend your access to the Services at any time, for any reason, without notice or liability.

15.3 Effect of Termination

Upon termination:

  • Your right to use the Services immediately ceases
  • Provisions that by their nature should survive termination will survive (including limitations of liability, indemnification, arbitration, and intellectual property provisions)
  • We may delete your account and any associated data

16. FORCE MAJEURE

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, labor disputes, supply chain disruptions, or other force majeure events.

17. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive electronic communications from us, including emails, text messages, and notices posted on the Site. You agree that all communications provided electronically satisfy any legal requirement that such communications be in writing.

18. ASSIGNMENT

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without your consent.

19. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Spade Jewelers regarding the Services and supersede all prior agreements and understandings.

21. WAIVER

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative.

  • YOU WAIVE ANY CLAIMS AGAINST SPADE JEWELERS EXCEPT AS EXPRESSLY PROVIDED HEREIN
